1. Agreement and scope

These Terms of Service ("Terms") govern your access to and use of the NeuralNet platform, APIs, dashboards, and related services (the "Services"). By creating an account, using the Services, or onboarding provider capacity, you agree to these Terms. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization and that the organization accepts these Terms.

2. Definitions

  • Customer Content means data, files, and workloads you submit or process.
  • Provider means a user who supplies GPU capacity through the Services.
  • Services means the NeuralNet platform, websites, and related tools.

3. Eligibility and account security

  • You must be at least 18 years old (or the age of majority in your jurisdiction).
  • You must provide accurate, current, and complete registration information.
  • You are responsible for all activity under your account and for keeping credentials secure.
  • You must promptly notify us of suspected unauthorized access or security incidents.

4. Acceptable use

You agree not to misuse the Services. You must not:

  • Use the Services for unlawful, harmful, or fraudulent activity.
  • Attempt to access systems, data, or accounts without authorization.
  • Interfere with or disrupt infrastructure, networks, or other users.
  • Deploy malware, exploit code, or abusive workloads.
  • Bypass rate limits, abuse APIs, or scrape data without permission.
  • Run prohibited mining, stress testing, or resource exhaustion workloads without approval.

5. Provider obligations

If you provide GPU capacity, you represent that you own or have rights to the hardware and that you will maintain it in a secure and compliant manner. You agree to:

  • Keep node information accurate and availability up to date.
  • Maintain operating system, drivers, and security patches.
  • Protect access credentials, API keys, and node environments.
  • Comply with onboarding, operational, and maintenance requirements.

6. Fees, billing, and taxes

Fees are usage-based unless otherwise stated. You authorize us to charge your payment method for all applicable fees and taxes. You are responsible for any taxes, duties, or charges imposed by authorities, except where prohibited by law.

Unless required by law, fees are non-refundable. Billing disputes must be reported within a reasonable time after the charge.

7. Customer content and data

You retain all rights to your Customer Content. You grant NeuralNet a limited, worldwide license to host, process, and transmit Customer Content solely to provide the Services. You are responsible for the legality, reliability, and accuracy of Customer Content.

8. Privacy and data processing

Our privacy practices are described in our Privacy Policy and, where applicable, our Data Processing Agreement.

9. Availability and support

We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may perform maintenance and will provide notice when practical.

10. Suspension and termination

We may suspend or terminate access if you violate these Terms, create security risk, or fail to pay fees. You may close your account at any time. Upon termination, your right to use the Services ends.

11. Intellectual property and feedback

NeuralNet and its licensors retain all rights in the Services. You receive a limited, non-exclusive, non-transferable license to use the Services as permitted by these Terms. If you provide feedback, you grant NeuralNet the right to use it without restriction.

12. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, NeuralNet disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the maximum extent permitted by law, NeuralNet will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.

14. Indemnification

You agree to indemnify and hold NeuralNet harmless from claims, damages, and expenses arising out of your use of the Services or violation of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice as required by law. Continued use of the Services after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws applicable where NeuralNet is established, without regard to conflict-of-law principles, and applicable EU regulations where relevant.
